Terms of Service

1. Services

Adswadi provides performance marketing and related services, including but not limited to paid media management (e.g. Google Ads, Meta, Snapchat, TikTok), web development, branding, and consulting. Specific deliverables, timelines, and fees are set out in your proposal, statement of work, or invoice.

2. Client Responsibilities

• You will provide accurate business information, assets, and approvals needed to perform the services.
• You are responsible for compliance with applicable laws, platform policies (including Google, Meta, Snapchat, TikTok, etc.), and the accuracy of ads and landing pages.
• You grant us the rights necessary to manage accounts, creatives, and integrations on your behalf as agreed in writing.

3. Fees & Payment

Fees, billing cycles, and payment methods are as agreed in your contract or invoice. Late payments may result in pausing work or services until balances are resolved. Ad spend paid directly to advertising platforms is subject to those platforms' terms and is not refundable by Adswadi.

4. Intellectual Property

Materials you provide remain yours. Deliverables created specifically for you transfer according to your agreement. Pre-existing tools, templates, and methodologies remain ours. You may not misuse our name, case studies, or materials except as agreed.

5. Disclaimers

Marketing results depend on many factors outside our control (market, budget, product, competition, platform changes). We do not guarantee specific revenue, ROI, or ranking outcomes unless expressly stated in a signed agreement.

6. Limitation of Liability

To the fullest extent permitted by law, Adswadi's total liability arising from these Terms or our services is limited to the fees paid to Adswadi for the specific service giving rise to the claim in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate as set out in your service agreement. We may suspend or terminate access for non-payment, abuse, or legal risk. Provisions that should survive (fees owed, IP, limitations) will survive termination.

8. Governing Law

These Terms are governed by the laws of India. Courts at Ranchi, Jharkhand shall have exclusive jurisdiction, subject to applicable statutory rights.

9. Changes

We may update these Terms from time to time. The "Last updated" date will change accordingly. Continued use of the website or services after changes constitutes acceptance where permitted by law.
